Virtual Currency Disclosures

Virtual currency is not legal tender in the United States, is not backed by the United States government, and accounts and value balances are not subject to Federal Deposit Insurance Corporation or Securities Investor Protection Corporation protections.

Caleb and Brown Limited charges a fee (Commission) when you buy, sell, swap, or convert Digital Currencies. The Commission rate for each Trade will be agreed between you and Caleb and Brown Limited prior to the Trade being executed, as set forth in clause 11 of the Terms of Business.

IRREVERSIBLE TRANSACTIONS WARNING

WARNING: ONCE EXECUTED, VIRTUAL CURRENCY TRANSACTIONS CANNOT BE UNDONE, REVERSED, OR RECALLED. LOSSES DUE TO FRAUDULENT OR ACCIDENTAL TRANSACTIONS MAY NOT BE RECOVERABLE. VIRTUAL CURRENCY TRANSACTIONS ARE IRREVERSIBLE AND MAY BE USED BY PERSONS SEEKING TO DEFRAUD CUSTOMERS, INCLUDING PERSONS IMPERSONATING GOVERNMENT OFFICIALS, LAW ENFORCEMENT, OR OTHER AUTHORITY FIGURES.

Virtual currency transactions, once executed and recorded on the blockchain, are permanently irreversible. This means:

  • You cannot cancel a transaction after it has been executed and confirmed on the blockchain.
  • If you send virtual currency to an incorrect address or wallet, that currency may be permanently lost and cannot be recovered.
  • If you are the victim of fraud or deception and send virtual currency to a scammer, you may have no recourse to recover your funds.
  • Transactions cannot be undone even if you discover an error immediately after execution.
  • Caleb and Brown Limited cannot reverse, recall, or undo a virtual currency transaction once it has been broadcast to the blockchain network.

You are solely responsible for verifying all transaction details, including recipient addresses and amounts, before confirming any transaction. Please take extreme care to ensure accuracy before proceeding with any virtual currency transaction.

Customer Rights and Protections

(1) Liability for Unauthorized Virtual Currency Transactions

You are solely responsible for maintaining the security of your Account credentials, including your password, email access, and two-factor authentication settings. You must notify us immediately if you become aware of any unauthorized access to your Account or any unauthorized virtual currency transaction. Subject to applicable law and the Terms of Business (including clauses 8 and 10), you may be liable for unauthorized transactions that occur as a result of your failure to maintain the security of your Account credentials or your failure to promptly notify us of unauthorized access.

(2) Right to Stop Payment of Preauthorized Virtual Currency Transfers

For certain preauthorized or recurring virtual currency transactions (such as dollar cost average Trades or other standing Trade orders as described in clauses 9.1(d) and 9.2(f)), you have the right to stop payment by canceling the preauthorized transaction prior to execution. To initiate a stop-payment order, you must contact your Broker or submit a cancellation request through the Portal (if such functionality is available) prior to the scheduled execution of the transaction. We will use commercially reasonable efforts to process your stop-payment request, but we cannot guarantee that we will be able to stop payment if the transaction has already been executed or is in the process of being executed at the time we receive your request. Please note that once a virtual currency transaction has been executed and broadcast to the blockchain, it cannot be stopped or reversed under any circumstances.

(3) Disclosure of Customer Information to Third Parties

We will not disclose information concerning your Account to third parties except in the following circumstances:

  • Where necessary to provide the Services to you, including to execute Trades, hold Assets, or facilitate deposits and withdrawals as described in clause 5(e) of the Terms of Business;
  • Where you have provided your consent to such disclosure;
  • Where required to comply with applicable AML/CFT Laws or other legal obligations as described in clause 7;
  • Where required by a court order, legal obligation, subpoena, or order by a government agency;
  • To our related bodies corporate, service providers, and agents who assist us in providing the Services, subject to appropriate confidentiality obligations; or
  • As otherwise described in our Privacy Policy.

(4) Customer Information That May Be Disclosed to Third Parties

When we disclose customer information to third parties in the circumstances described above, the information disclosed may include:

  • Your personal information, including name, address, date of birth, and identification documents, as required for AML/CFT compliance;
  • Your Account information, including transaction history, balances, and trading activity;
  • Information about specific transactions, including the type, amount, date, and destination of virtual currency transfers;
  • Information necessary to execute Trades or hold Assets on your behalf through third-party platforms, exchanges, or custodians; and
  • Any other information reasonably necessary to provide the Services, comply with legal obligations, or respond to lawful requests from government agencies or courts.

(5) Right to Receive Physical Receipt for Virtual Currency Kiosk Transactions

Caleb & Brown does not currently operate virtual currency kiosks. If we begin to offer virtual currency kiosk services in the future, you will have the right to receive a physical, printed receipt for any virtual currency transaction conducted through such a kiosk at the time of the transaction. Such receipt will include all transaction details and relevant warnings.

(6) Right to Consent to Changes in Rules or Policies

As described in clause 1(b) and (c) of the Terms of Business, we may revise the Terms of Business from time to time. We will endeavor to provide you notice of any material revisions by displaying a notice on our Website or by other reasonable means. Upon any change in the Terms of Business or our policies, you have the right to review such changes and determine whether to consent to them. For clarity, your continued use of your Account, the Website, the Portal, and/or Services after we have provided notice of changes will constitute your acceptance of and consent to such changes. If you do not agree to any change, you may terminate your use of the Services in accordance with the Terms of Business.

California

California Digital Financial Assets Law Disclosures

CATEGORY 1: FEES AND CHARGES

Schedule of Fees and Charges

Caleb and Brown Limited charges a fee (Commission) which is a percentage of the denominated value (e.g., USD, ETH, BTC) of your Purchase Amount or Disposal Amount, as applicable, in accordance with clause 11 of the Terms of Business. Commission Rate: The rate of Commission for each Trade will be agreed by Caleb and Brown Limited and you prior to the Trade being executed. The Commission will be deducted from your Purchase Amount or Disposal Amount before the Trade is executed.

Additional Fees: Caleb and Brown Limited may impose additional processing fees or surcharges for certain Payment Methods as described in clause 11(g) of the Terms of Business. Such fees will be disclosed to you prior to the Trade being executed.

Fee Calculation: Fees are calculated as a percentage of the transaction amount and are not set in advance unless otherwise agreed with your Broker. The timing of fees will be at the time the Trade is executed.

Payment Methods Fees: If you use alternative Payment Methods, additional fees may apply and will be clearly disclosed before you authorize the transaction.

CATEGORY 2: INSURANCE COVERAGE

Insurance and Asset Protection Virtual currency is not covered by Federal Deposit Insurance Corporation (FDIC) insurance or Securities Investor Protection Corporation (SIPC) protections.

No Government Insurance: Your virtual currency holdings with Caleb and Brown Limited are not insured by any agency of the United States government and are not guaranteed against loss by the U.S. government.

Private Insurance: Caleb and Brown Limited may maintain private insurance against theft or loss of virtual currency held on your behalf. However, such insurance does not cover losses due to your own negligence, fraud, unauthorized access to your Account due to your failure to protect your credentials, or market price fluctuations.

Custodial Arrangements: In accordance with clause 10 of the Terms of Business, virtual currency you hold through Caleb and Brown Limited is held on trust for you and is segregated from Caleb and Brown Limited’s own assets, subject to clause 13(n)(iii) of the Terms of Business.

CATEGORY 3: IRREVOCABILITY OF TRANSFERS AND EXCEPTIONS

Permanent Nature of Virtual Currency Transactions

TRANSFERS ARE IRREVERSIBLE: Once a virtual currency transfer has been executed and confirmed on the blockchain network, the transaction is permanently irreversible and cannot be undone, reversed, recalled, or refunded under any circumstances.

What This Means:

  • You cannot cancel a transaction after it has been broadcast to the blockchain.
  • If you send virtual currency to an incorrect address or wallet, that currency may be permanently lost.
  • If you are the victim of fraud or deception, you may have no recourse to recover your funds.
  • Caleb and Brown Limited cannot reverse, undo, or stop a transaction once it has been executed.
  • Blockchain transactions are immutable and permanent.

Limited Exceptions (Before Execution):

  • If you cancel a pending Trade order that has not yet been executed and broadcast to the blockchain, you may receive a full refund of deposited funds (less any fees already incurred).
  • See Category 7 (Right to Stop Payment) for procedures.

No Reversal for Market Price Changes: Caleb and Brown Limited will not reverse or refund transactions due to market price fluctuations or unfavorable exchange rates, even if you believe you made a poor decision.

CATEGORY 4: TRANSFER OR EXCHANGE LIABILITY, RESPONSIBILITY, AND ERROR-RESOLUTION OPTIONS

Liability for Virtual Currency Transfers

Your Responsibility for Account Security: You are responsible for maintaining the security of your Account credentials, including your password, email address, and two-factor authentication (2FA) settings. You must notify Caleb and Brown Limited immediately if you become aware of any unauthorized access to your Account or any unauthorized virtual currency transaction.

Your Liability for Unauthorized Transactions: Subject to applicable law and the Terms of Business, you may be liable for unauthorized transactions that result from:

  • Your failure to maintain the security of your Account credentials
  • Your failure to promptly notify Caleb and Brown Limited of unauthorized access
  • Your use of easily guessable passwords or failure to enable 2FA
  • Your disclosure of your Account credentials to third parties

Caleb and Brown Limited's Limited Liability: Caleb and Brown Limited is not liable for losses resulting from:

  • Delays or failures to execute transactions due to factors beyond its reasonable control, including blockchain congestion, third-party failures, or network issues
  • Your failure to provide correct transaction details or wallet addresses
  • Your provision of incorrect beneficiary information
  • Market price fluctuations during transaction processing
  • Unauthorized access to your Account due to your negligence in protecting your credentials

Caleb and Brown Limited's Liability for Its Own Errors: If Caleb and Brown Limited fails to execute a transaction correctly due to its own error or negligence, Caleb and Brown Limited will, at its discretion:

  • Issue a full refund of transaction amounts; or
  • Reattempt the transaction at no additional cost to you

Error Resolution Procedures:

  • Contact your Broker or submit a support request at: support@calebandbrown.com
  • If you identify an error or unauthorized transaction
  • Provide documentation of the error within 30 days of the transaction
  • Caleb and Brown Limited will investigate and respond within 10 Business Days
  • If an error is confirmed to be Caleb and Brown Limited's responsibility, you will receive resolution as described above

Limitation on Damages: You release and discharge Caleb and Brown Limited from liability for any indirect, consequential, or punitive damages except where prohibited by law or as a result of Caleb and Brown Limited's gross negligence or willful misconduct.

CATEGORY 5: TRANSFER OR EXCHANGE DATE AND TIMING

Virtual Currency Transaction Processing Timeline

Execution Timing: The specific timing of your virtual currency transfer depends on multiple factors, including the type of transaction, network conditions, and blockchain confirmation requirements.

Purchase Transactions (Fiat to Virtual Currency):

  • Upon acceptance of your Trade instruction, Caleb and Brown Limited will process your purchase
  • Fiat currency funds must be received and cleared by Caleb and Brown Limited's bank before processing
  • Typically executed within 1-2 Business Days for wire transfers and 3-5 Business Days for ACH transfers
  • Virtual currency will be held for you upon execution in accordance with clause 10 of the Terms of Business

Disposal/Swap Transactions (Virtual Currency to Fiat or Other Virtual Currency):

  • Upon acceptance of your Trade instruction, Caleb and Brown Limited will execute the transaction
  • Virtual currency will be moved from your Account to Caleb and Brown Limited's exchange account
  • Execution typically occurs within 1 Business Day
  • Fiat currency settlements to your bank account typically take 1-3 Business Days depending on your bank

Network Confirmation Times:

  • After a virtual currency transaction is broadcast to the blockchain, additional confirmation time is required
  • Confirmation times vary significantly depending on network congestion
  • Bitcoin transactions: typically 10 minutes to several hours for full confirmation
  • Ethereum transactions: typically 15 seconds to several minutes for confirmation
  • Other virtual currencies may have different confirmation timeframes

No Guarantee of Specific Timing: Caleb and Brown Limited does not guarantee specific execution or delivery times. Delays may occur due to:

  • Blockchain network congestion or capacity issues
  • Third-party payment processor delays
  • Banking system processing times
  • Automated fraud prevention screening procedures

Delayed Transactions: If your transaction experiences unexpected delays beyond 2 Business Days for purchases or 1 Business Day for disposals, contact your Broker.

CATEGORY 6: RIGHT TO STOP PAYMENT OR REVOKE AUTHORIZATION

Right to Stop Payment of Preauthorized Transfers

Stop Payment Right for Pending Transactions: You have the right to stop or cancel a virtual currency transaction before it has been executed and broadcast to the blockchain.

How to Request a Stop Payment:

  • Contact your Broker immediately by telephone or email with the transaction reference number or Customer ID
  • Use the Portal to cancel pending orders if such functionality is available through your Account dashboard
  • Provide clear identification that you wish to cancel the specific transaction

Timing Requirements: You must request the stop payment before Caleb and Brown Limited executes and broadcasts the transaction to the blockchain. Once broadcast, the transaction cannot be stopped under any circumstances.

What Happens After Stop Payment Request:

  • If received before execution, Caleb and Brown Limited will attempt to cancel the transaction
  • Any deposited funds will be returned to you within 5 Business Days (less any fees already incurred)
  • Caleb and Brown Limited cannot guarantee cancellation if the transaction is already in process when the stop payment request is received.

No Stop Payment After Execution: Once a transaction has been executed and confirmed on the blockchain, you cannot stop, reverse, or cancel the transaction under any circumstances. No stop payment order can undo a transaction recorded on the blockchain.

Preauthorized Transactions: For standing Trade orders (such as dollar cost average trades or target orders as described in clauses 9.1(d) and 9.2(f)), you have the right to cancel the preauthorized series at any time by notifying Caleb and Brown Limited or using the Portal. Future transactions in the series will not be executed, but previously executed transactions cannot be reversed.

Cancellation Deadlines: Your cancellation request must be received before the scheduled execution time for preauthorized transactions. Caleb and Brown Limited will confirm receipt of your cancellation request.

CATEGORY 7: RIGHT TO RECEIVE A RECEIPT

Receipt and Transaction Confirmation

Electronic Receipt: Upon completion of each virtual currency transaction, Caleb and Brown Limited will send you an electronic receipt via email that includes:

  • Transaction date and time
  • Type of transaction (Purchase, Disposal, or Swap)
  • Amount in Fiat Currency or Virtual Currency sent and received
  • Exchange rate or price used (if applicable)
  • All fees and charges deducted
  • Transaction status (Completed, Pending, or Failed)
  • Transaction hash or reference number (once confirmed on blockchain)
  • Recipient wallet address or account information

Portal Transaction History: You can view your complete transaction history and receipts by logging into your Account through the Portal and clicking "Transactions."

Retained Copies: You should retain all receipts for:

  • Your records
  • Tax reporting purposes
  • Dispute resolution and error claims
  • Compliance with government inquiries

Receipt Retention: Caleb and Brown Limited will maintain records of all your transactions for at least 5 years in accordance with applicable law.

CATEGORY 8: RIGHT TO NOTICE ON CHANGES TO FEE SCHEDULE OR OTHER TERMS, CONDITIONS, OR POLICIES

Right to Notice: You have the right to receive notice of any material changes to:

  • Fee schedules and Commission rates
  • Terms and conditions of service
  • Policies regarding virtual currency transactions
  • Processing procedures or timelines

Timing of Notice: Caleb and Brown Limited will provide notice of material changes at least 30 days before such changes become effective, except where immediate changes are required by law, regulation, or to prevent fraud.

Method of Notification: Caleb and Brown Limited will notify you of changes by:

  • Displaying a notice on the Website or Portal
  • Sending notice via email to the email address associated with your Account
  • Posting updated Terms of Business on our Website
  • Notifying you through other reasonable means

Your Right to Consent and Acceptance: Upon notice of any material changes:

  • You have the right to review the proposed changes
  • Your continued use of your Account, the Portal, Website, or Services after notice constitutes your acceptance and consent to the changes
  • If you do not agree to the changes, you may terminate your use of the Services before the changes become effective.

Termination Rights: You may terminate your Account and use of Services at any time by contacting your Broker or submitting a termination request through the Portal. Caleb and Brown Limited will process your termination and return any Assets held for you in accordance with clause 10 of the Terms of Business.

Emergency Changes: For emergency changes required to prevent fraud, comply with legal obligations, or address security issues, Caleb and Brown Limited may implement changes immediately with notice and explanation provided.

Important Information About Virtual Currency

Virtual Currency is Not Legal Tender: Virtual currency is not legal tender in the United States or California. Virtual currency is not issued, backed, or guaranteed by the U.S. government, the Federal Reserve, or the State of California.

No Government Protection: Virtual currency holdings are not subject to:

  • Federal Deposit Insurance Corporation (FDIC) protections
  • Securities Investor Protection Corporation (SIPC) protections
  • Any other U.S. government insurance or guarantee program

Regulatory Status: Virtual currency is classified by the U.S. Internal Revenue Service (IRS) as property for tax purposes, not as currency. This means:

  • All virtual currency transactions are taxable events
  • You are responsible for reporting gains and losses on your tax returns
  • You may owe capital gains taxes on virtual currency transactions

Market Volatility: Virtual currency prices are highly volatile and can fluctuate dramatically. You may experience significant losses if the market price of virtual currency decreases after you purchase it.

No Issuer Guarantee: There is no central entity responsible for guaranteeing the value, security, or acceptance of any virtual currency.

Irreversible Transactions: Virtual currency transactions are permanent and irreversible once recorded on the blockchain. You cannot recover funds lost to fraud, theft, or accidental transfers.

Speculative Investment: Virtual currency is considered a speculative and risky investment. You should only invest amounts you can afford to lose.

Limited Acceptance: Virtual currency is not widely accepted as payment by merchants or businesses. Its utility is limited and may decrease over time.
