Virtual Currency Disclosures Virtual currency is not legal tender in the United States, is not backed by the United States government, and accounts and value balances are not subject to Federal Deposit Insurance Corporation or Securities Investor Protection Corporation protections. Caleb and Brown Limited charges a fee (Commission) when you buy, sell, swap, or convert Digital Currencies. The Commission rate for each Trade will be agreed between you and Caleb and Brown Limited prior to the Trade being executed, as set forth in clause 11 of the Terms of Business. IRREVERSIBLE TRANSACTIONS WARNING WARNING: ONCE EXECUTED, VIRTUAL CURRENCY TRANSACTIONS CANNOT BE UNDONE, REVERSED, OR RECALLED. LOSSES DUE TO FRAUDULENT OR ACCIDENTAL TRANSACTIONS MAY NOT BE RECOVERABLE. VIRTUAL CURRENCY TRANSACTIONS ARE IRREVERSIBLE AND MAY BE USED BY PERSONS SEEKING TO DEFRAUD CUSTOMERS, INCLUDING PERSONS IMPERSONATING GOVERNMENT OFFICIALS, LAW ENFORCEMENT, OR OTHER AUTHORITY FIGURES. Virtual currency transactions, once executed and recorded on the blockchain, are permanently irreversible. This means:
Customer Rights and Protections (1) Liability for Unauthorized Virtual Currency Transactions You are solely responsible for maintaining the security of your Account credentials, including your password, email access, and two-factor authentication settings. You must notify us immediately if you become aware of any unauthorized access to your Account or any unauthorized virtual currency transaction. Subject to applicable law and the Terms of Business (including clauses 8 and 10), you may be liable for unauthorized transactions that occur as a result of your failure to maintain the security of your Account credentials or your failure to promptly notify us of unauthorized access. (2) Right to Stop Payment of Preauthorized Virtual Currency Transfers For certain preauthorized or recurring virtual currency transactions (such as dollar cost average Trades or other standing Trade orders as described in clauses 9.1(d) and 9.2(f)), you have the right to stop payment by canceling the preauthorized transaction prior to execution. To initiate a stop-payment order, you must contact your Broker or submit a cancellation request through the Portal (if such functionality is available) prior to the scheduled execution of the transaction. We will use commercially reasonable efforts to process your stop-payment request, but we cannot guarantee that we will be able to stop payment if the transaction has already been executed or is in the process of being executed at the time we receive your request. Please note that once a virtual currency transaction has been executed and broadcast to the blockchain, it cannot be stopped or reversed under any circumstances. (3) Disclosure of Customer Information to Third Parties We will not disclose information concerning your Account to third parties except in the following circumstances:

(5) Right to Receive Physical Receipt for Virtual Currency Kiosk Transactions Caleb & Brown does not currently operate virtual currency kiosks. If we begin to offer virtual currency kiosk services in the future, you will have the right to receive a physical, printed receipt for any virtual currency transaction conducted through such a kiosk at the time of the transaction. Such receipt will include all transaction details and relevant warnings. (6) Right to Consent to Changes in Rules or Policies As described in clause 1(b) and (c) of the Terms of Business, we may revise the Terms of Business from time to time. We will endeavor to provide you notice of any material revisions by displaying a notice on our Website or by other reasonable means. Upon any change in the Terms of Business or our policies, you have the right to review such changes and determine whether to consent to them. For clarity, your continued use of your Account, the Website, the Portal, and/or Services after we have provided notice of changes will constitute your acceptance of and consent to such changes. If you do not agree to any change, you may terminate your use of the Services in accordance with the Terms of Business. |
| California | California Digital Financial Assets Law Disclosures CATEGORY 1: FEES AND CHARGES Schedule of Fees and Charges Caleb and Brown Limited charges a fee (Commission) which is a percentage of the denominated value (e.g., USD, ETH, BTC) of your Purchase Amount or Disposal Amount, as applicable, in accordance with clause 11 of the Terms of Business. Commission Rate: The rate of Commission for each Trade will be agreed by Caleb and Brown Limited and you prior to the Trade being executed. The Commission will be deducted from your Purchase Amount or Disposal Amount before the Trade is executed. Additional Fees: Caleb and Brown Limited may impose additional processing fees or surcharges for certain Payment Methods as described in clause 11(g) of the Terms of Business. Such fees will be disclosed to you prior to the Trade being executed. Fee Calculation: Fees are calculated as a percentage of the transaction amount and are not set in advance unless otherwise agreed with your Broker. The timing of fees will be at the time the Trade is executed. Payment Methods Fees: If you use alternative Payment Methods, additional fees may apply and will be clearly disclosed before you authorize the transaction. CATEGORY 2: INSURANCE COVERAGE Insurance and Asset Protection Virtual currency is not covered by Federal Deposit Insurance Corporation (FDIC) insurance or Securities Investor Protection Corporation (SIPC) protections. No Government Insurance: Your virtual currency holdings with Caleb and Brown Limited are not insured by any agency of the United States government and are not guaranteed against loss by the U.S. government. Private Insurance: Caleb and Brown Limited may maintain private insurance against theft or loss of virtual currency held on your behalf. However, such insurance does not cover losses due to your own negligence, fraud, unauthorized access to your Account due to your failure to protect your credentials, or market price fluctuations. Custodial Arrangements: In accordance with clause 10 of the Terms of Business, virtual currency you hold through Caleb and Brown Limited is held on trust for you and is segregated from Caleb and Brown Limited’s own assets, subject to clause 13(n)(iii) of the Terms of Business. CATEGORY 3: IRREVOCABILITY OF TRANSFERS AND EXCEPTIONS Permanent Nature of Virtual Currency Transactions TRANSFERS ARE IRREVERSIBLE: Once a virtual currency transfer has been executed and confirmed on the blockchain network, the transaction is permanently irreversible and cannot be undone, reversed, recalled, or refunded under any circumstances. No Reversal for Market Price Changes: Caleb and Brown Limited will not reverse or refund transactions due to market price fluctuations or unfavorable exchange rates, even if you believe you made a poor decision. CATEGORY 4: TRANSFER OR EXCHANGE LIABILITY, RESPONSIBILITY, AND ERROR-RESOLUTION OPTIONS Liability for Virtual Currency Transfers Your Responsibility for Account Security: You are responsible for maintaining the security of your Account credentials, including your password, email address, and two-factor authentication (2FA) settings. You must notify Caleb and Brown Limited immediately if you become aware of any unauthorized access to your Account or any unauthorized virtual currency transaction. CATEGORY 6: RIGHT TO STOP PAYMENT OR REVOKE AUTHORIZATION Right to Stop Payment of Preauthorized Transfers Stop Payment Right for Pending Transactions: You have the right to stop or cancel a virtual currency transaction before it has been executed and broadcast to the blockchain. Timing Requirements: You must request the stop payment before Caleb and Brown Limited executes and broadcasts the transaction to the blockchain. Once broadcast, the transaction cannot be stopped under any circumstances. What Happens After Stop Payment Request:
No Stop Payment After Execution: Once a transaction has been executed and confirmed on the blockchain, you cannot stop, reverse, or cancel the transaction under any circumstances. No stop payment order can undo a transaction recorded on the blockchain. Preauthorized Transactions: For standing Trade orders (such as dollar cost average trades or target orders as described in clauses 9.1(d) and 9.2(f)), you have the right to cancel the preauthorized series at any time by notifying Caleb and Brown Limited or using the Portal. Future transactions in the series will not be executed, but previously executed transactions cannot be reversed. Cancellation Deadlines: Your cancellation request must be received before the scheduled execution time for preauthorized transactions. Caleb and Brown Limited will confirm receipt of your cancellation request.
